RPG Investors — Terms & Conditions of Service

1. Introduction & Acceptance

Welcome to RPG Investors ("RPG Investors," "Platform," "we," "us," or "our"), a DBA of Reynolds Properties Group LLC. RPG Investors provides real estate investment services, resources, and tools for investors, wholesalers, and property sellers.

By creating an account, accessing, or using RPG Investors services, you ("Client," "User," "you," or "your") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, do not use our services.

IMPORTANT: These Terms constitute a legally binding agreement between you and RPG Investors, a DBA of Reynolds Properties Group LLC. Please read them carefully.

2. Definitions

• "Client" or "User": An individual or entity that has engaged RPG Investors services and agreed to these Terms.
• "Platform": The RPG Investors website, CRM tools, communication systems, and related services.
• "Services": Real estate investment resources, deal sourcing, buyer/seller introductions, and related offerings provided by RPG Investors.
• "Transaction": A completed real estate assignment, purchase, joint venture, or transfer of equitable interest facilitated through or by RPG Investors.

3. Service Description

3.1 Service Overview

RPG Investors provides services including but not limited to:

• Buying houses directly from motivated sellers as-is, with no repairs or commissions required
• Wholesaling off-market real estate deals to investors
• Building and managing a buy-and-hold rental portfolio
• Buyer and seller database management
• Investment analysis and property evaluation
• Pipeline and transaction workflow management
• Investor communications and networking

3.2 RPG Investors is Not a Licensed Broker

RPG Investors is a real estate investment operation, not a licensed real estate broker or agent in all jurisdictions. RPG Investors does not guarantee deal quality, accuracy of submitted information, or transaction outcomes. All transactions are conducted directly between parties and are subject to applicable state and local licensing requirements.

4. User Responsibilities

4.1 Account Obligations

As a Client/User, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly update any changes to your account information
• Comply with all applicable laws and regulations

4.2 Transaction Warranties

By engaging in transactions through RPG Investors, you represent and warrant that:

• You have the legal right to market, purchase, or transfer the property in question
• All information provided is accurate to the best of your knowledge
• You have not misrepresented material facts about any property or transaction
• You will honor any agreed-upon terms disclosed during the transaction process

5. Fees & Payment

5.1 Service Fees

Fees for RPG Investors services, where applicable, will be disclosed prior to engagement. All fees are due as agreed upon in writing between the parties. RPG Investors reserves the right to modify fee structures with reasonable advance notice.

5.2 Payment Terms

Where applicable, payments are processed securely through Stripe or as otherwise agreed in writing. Outstanding fees remain due upon termination of any service agreement.

6. SMS/Text Message Terms & Conditions

6.1 Consent to Receive SMS Messages

By submitting this form, you agree to receive SMS messages, emails, and phone calls from Reynolds Properties Group LLC DBA RPG Investors. Calls and messages may be automated or use an AI voice. Message & data rates may apply. Reply STOP or say STOP at any time to opt out.

6.2 Opting Out

You can cancel the SMS service at any time. Just text "STOP" to the short code or phone number from which you received the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

By using RPG Investors services, you grant us the right to process and utilize your data for the following purposes:

• Operating and improving our services
• Facilitating transactions and communications
• Platform analytics and performance reporting
• Enforcing these Terms

7.2 Data Ownership

You retain ownership of your data. By using our services, you grant RPG Investors a limited license to process and use this data solely for the purposes described in these Terms and our Privacy Policy.

8. Intellectual Property

All Platform software, systems, designs, trademarks, and documentation are the exclusive property of RPG Investors and Reynolds Properties Group LLC. You may not copy, modify, distribute, or reverse-engineer any part of our systems without express written consent.

9. Disclaimer of Warranties

SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. RPG Investors does not warrant that: (a) services will be uninterrupted or error-free; (b) property or investment information submitted by parties is accurate; or (c) any transaction will close or be profitable.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RPG INVESTORS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, deals, data, or business opportunities, arising out of or related to your use of our services. RPG Investors' total liability for any claim arising under these Terms shall not exceed the total fees paid by you to RPG Investors in the twelve (12) months preceding the claim.

11. Termination

11.1 Termination by User

You may terminate your engagement with RPG Investors at any time by providing written notice. Outstanding fees remain due upon termination.

11.2 Termination by RPG Investors

RPG Investors may suspend or terminate your access immediately if you:

• Violate these Terms
• Engage in fraudulent or unlawful activity
• Fail to pay outstanding fees
• Engage in behavior harmful to other clients or RPG Investors

12. Dispute Resolution

12.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact RPG Investors at [email protected] and attempt to resolve any dispute informally for at least thirty (30) days.

12.2 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Maryland, USA, and judgment on the award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS ARBITRATION.

13. General Provisions

13.1 Governing Law

These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict of law principles.

13.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RPG Investors.

13.3 Modifications

RPG Investors may modify these Terms at any time by posting updated Terms on our website. Continued use after modifications constitutes acceptance.

13.4 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.

13.5 Assignment

You may not assign your rights or obligations under these Terms without RPG Investors' prior written consent. RPG Investors may assign these Terms freely.
